Depuis le 1er janvier 2007, Cofinimmo a mené une politique très active d’arbitrage d’actifs immobiliers dans son principal secteur d’investissement, celui des bureaux, en recherchant l’amélioration de la qualité intrinsèque de son portefeuille et en adéquation avec le profil de risque modéré qu’elle s’est choisi. La cession de 11 immeubles pour une valeur de € 249,7 millions lui a permis d’enregistrer une plus-value réalisée de € 3,73 par action ordinaire tandis que la revalorisation positive du portefeuille (plus-value nonréalisée) s’élève à € 3,11 par action ordinaire. Le Groupe a simultanément investi ou s’est engagé à investir pour un montant total de € 166,7 millions dans des surfaces neuves de bureaux.

Cofinimmo a également conclu d’importantes transactions de sale and lease back immobiliers à long terme avec des contreparties qui sont des sociétés industrielles ou de services souhaitant se concentrer sur leur métier principal. Il s’agit en substance d’un sale and lease back (€ 424,0 millions(2)) avec le premier brasseur mondial InBev portant sur 1 069 cafés situés en Belgique et aux Pays-Bas, de l’acquisition de maisons de repos (€ 127,8 millions(2)) données en emphytéose aux groupes d’exploitation Restel et Van den Brande et de celle de l’immobilier d’un club de sports et de loisirs (€ 34,8 millions(2)) loué au Groupe Aspria. Les baux à long terme de respectivement 23, 27 et 20 ans signés avec ces locataires de renom dans leurs métiers respectifs améliorent la répartition du risque du portefeuille et impacteront très favorablement les résultats de Cofinimmo à l’avenir.
Sans tenir compte de la revalorisation non-réalisée positive susmentionnée, la croissance nette du
portefeuille immobilier a été de 1,1 % durant les 9 premiers mois de l’année. Au 30.09.2007, la juste
valeur atteint € 2 395,98 millions et la valeur d’investissement € 2 454,33 millions. Les créances de loyer de € 0,8 milliard ayant été cédées dans le cadre de l’acquisition de 2 immeubles, le North Galaxy et Palais de Justice d’Anvers dont Cofinimmo est propriétaire, ne figurent naturellement pas à l’actif du bilan. Si cette cession n’avait pas été opérée la valeur globale du patrimoine serait de € 3,2 milliards.

Enfin le 12 octobre 2007, Cofinimmo a profité d’un environnement financier favorable pour céder sa créance de redevances emphytéotiques relative à l’immeuble Belliard I-II. Cette cession (€ 154,3 millions), qui s’effectuera en deux temps, s’étalera pour parts égales sur les exercices 2007 (au quatrième trimestre) et 2008, et produira un résultat financier positif global de € 9,4 millions.

Cofinimmo 3Q2007 results

Since 01.01.2007, Cofinimmo has carried out an active arbitrage of real estate assets in its main activity sector of office buildings, with a view to improving the intrinsic quality of the portfolio and in accordance with its moderate risk profile. The disposal of 11 buildings for an amount of € 249.7 million allowed the Group to register a realised gain of € 3.73 per ordinary share whilst the positive revaluation of the portfolio (unrealised gain) amounts to € 3.11 per ordinary share. The Group has simultaneously invested or has committed to invest for a total amount of € 166.7 million in new office surfaces.

Cofinimmo has also concluded important sale and lease back real estate transactions with industrial and service companies wishing to focus on their core business. It concerns the sale and lease back
(€ 424.0 million(2)) with the world’s leading brewer InBev regarding 1,069 pubs in Belgium and the Netherlands, the acquisition of nursing homes (€ 127.8 million(2)) leased to Restel or Group Van den Brande and the purchase of the real estate of a sports and leisure club (€ 34.8 million(2)) rented to Aspria Group. The long term lease agreements for firm periods of respectively 23, 27 and 20 years signed with these first quality tenants improve the risk allocation of Cofinimmo’s portfolio and will have a very favourable impact on its future results.

Disregarding the above mentioned unrealised positive revaluation, the property portfolio grew by 1.1% during the first 9 months of the year to reach € 2,395.98 million in fair value and € 2,454.33 million in investment value. The rent receivables of € 0.8 billion which were sold after the acquisition of 2 buildings (Antwerp Court of Justice and North Galaxy) owned by Cofinimmo, do obviously not appear on the asset side of the balance sheet. If this sale would not have happened, the global value of the portfolio would have been € 3.2 billion.

Finally, on 12.10.2007, Cofinimmo has taken advantage of a favourable financial environment to sell its lease receivable relating to the building Belliard I-II. This disposal (€ 154.3 million) will be carried out in 2 steps and will be equally spread over the years 2007 (during the 4th quarter) and 2008. It will generate a global positive financial result of € 9.4 million.

The net current result at 30.09.2007 stands at € 5.95 per ordinary share, which is in conformity with the forecast but down 6.9% compared to the same period last year (€ 6.39). This decrease in the net current result stems chiefly from the interest rates increase and the negative revaluation of financial instruments (IAS 39 – non cash item), compensated by the higher level of rents due to recent acquisitions.
